Terms of Service

These Terms of Service ("Terms") govern your access to and use of B Mobilize, an operations management platform for equipment rental companies, provided by Oryn Labs ("B Mobilize," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, do not access or use the Service.

1. The Service

B Mobilize provides a cloud-based software platform that allows equipment rental companies to manage fleet inventory, operators, reservations, quotations, maintenance records, document tracking, and related operational functions (the "Service").

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where the change is material and adversely affects your use of the Service.

2. Eligibility & Account Registration

  • You must be at least 18 years old and have the legal authority to enter into these Terms.
  • You must provide accurate, current, and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must notify us immediately at Hello@bmobilize.com of any unauthorized use of your account or any other security breach.
  • One company workspace may have multiple user accounts with different roles (e.g., Company Admin, Operations, Sales), as configured by the Company Admin.

3. Subscription, Fees & Payment

  • Access to the Service requires a paid subscription, billed on a monthly or annual basis as selected at sign-up, except during any free trial period we may offer.
  • Free trial: If offered, trial length and included features will be specified at the time of signup. We may require payment information to start a trial and will notify you before charging you when the trial ends, in accordance with applicable law.
  • Billing: Fees are billed in advance of each billing cycle. You authorize us (or our payment processor) to charge your designated payment method automatically.
  • Price changes: We may change subscription pricing with at least 30 days' notice before the change takes effect for existing subscribers.
  • Taxes: Fees are exclusive of applicable taxes (including GST), which will be added where required by law.
  • Refunds: Except as required by applicable law, fees are non-refundable, including for partial billing periods, downgrades, or unused portions of a subscription term.
  • Non-payment: We may suspend or terminate access to the Service if payment is not received within 14 days of the due date.

4. Your Data & Content

4.1 Ownership

You retain all ownership rights to the data you input into the Service, including equipment records, operator records, client information, quotations, and uploaded documents ("Your Data"). We do not claim any ownership over Your Data.

4.2 License to Us

You grant us a limited, non-exclusive, worldwide license to host, store, process, and display Your Data solely for the purpose of providing and improving the Service to you.

4.3 Your Responsibilities

You are solely responsible for:

  • The accuracy and legality of Your Data
  • Ensuring you have the necessary rights and consents to upload any personal data (e.g., operator personal information, client contact details) into the Service
  • Complying with applicable data protection laws regarding data you input, including obtaining any required consents from your employees, operators, or clients

4.4 Data Export & Deletion

You may export Your Data from the Service in the formats we make available. Upon termination of your subscription, we will retain Your Data for a limited period as described in our Privacy Policy, after which it will be permanently deleted unless you request earlier deletion.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems or networks
  • Upload or transmit any viruses, malware, or other malicious code
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law
  • Use the Service to store or transmit content that is unlawful, defamatory, or infringes on the rights of any third party
  • Resell, sublicense, or provide the Service to third parties outside your organization without our written consent
  • Use automated means (bots, scrapers) to access the Service without our prior written permission
  • Circumvent any usage limits or restrictions associated with your subscription tier

We reserve the right to suspend or terminate accounts that violate this section.

6. Intellectual Property

  • The Service, including its software, design, features, and all associated intellectual property (excluding Your Data), is owned by Oryn Labs and its licensors.
  • These Terms do not grant you any rights to our trademarks, logos, or brand features except as necessary to use the Service as intended.
  • Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to compensate you.

7. Third-Party Services

The Service may integrate with or rely on third-party services (such as cloud hosting, AI processing, and email delivery providers) as described in our Privacy Policy. We are not responsible for the acts or omissions of third-party providers, though we take reasonable care in selecting them.

8. AI-Generated Content Disclaimer

B Mobilize includes AI-assisted features (such as quotation text generation and the Operations Assistant). You acknowledge that:

  • AI-generated content may contain errors or inaccuracies and should be reviewed before being relied upon for business decisions, client communications, or legal/financial purposes
  • We do not guarantee the accuracy, completeness, or fitness for a particular purpose of any AI-generated output
  • You remain solely responsible for reviewing and approving any AI-generated content (such as quotations) before sending it to clients or acting upon it

9. Warranties & Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR AS REQUIRED BY APPLICABLE LAW.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • B MOBILIZE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
  • OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
  • NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11. Indemnification

You agree to indemnify and hold harmless B Mobilize, its affiliates, and their respective officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of: (a) Your Data; (b) your violation of these Terms; or (c) your violation of any applicable law or third-party right.

12. Term & Termination

  • These Terms remain in effect for as long as you use the Service.
  • You may cancel your subscription at any time through your account settings or by contacting Hello@bmobilize.com. Cancellation takes effect at the end of the current billing period.
  • We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay applicable fees, or if required by law.
  • Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 4, 6, 9, 10, 11, and 14) will survive.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Chennai, Tamil Nadu, India, unless otherwise required by applicable law.

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and B Mobilize regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.
  • Changes to These Terms: We may update these Terms from time to time. Material changes will be communicated via email or notice within the Service at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
